Terms of Service

Last updated: 21 June 2026

Draft for review. This is a practical draft prepared to reflect how Kirado actually works. It is not legal advice and must be reviewed by a qualified lawyer before you rely on it. Items marked [TODO] must be completed before production use.

These Terms of Service (“Terms”) govern your access to and use of Kirado, operated by [TODO: legal entity name] (Business Registration No. [TODO: registration number]), of [TODO: business address] (“we”, “us”). By creating an account or using Kirado, you agree to these Terms.

The service

Kirado provides accounting and mini-ERP software for small and medium businesses. We may update, improve, or change features over time. The service is provided on an ongoing basis and may have scheduled or unscheduled downtime.

Your account

  • You must provide accurate registration information and keep your credentials secure.
  • You are responsible for activity that occurs under your account and organization.
  • You are responsible for the accuracy of the business and accounting data you enter, and for your own compliance, tax, and statutory obligations.

Acceptable use

  • Do not use Kirado for unlawful purposes or to infringe others’ rights.
  • Do not attempt to disrupt, reverse-engineer, or gain unauthorized access to the service.
  • Do not upload malicious code or data you have no right to process.

Your data

You retain ownership of the business data you enter. We process it to provide the service as described in our Privacy Policy. Posted accounting records are immutable by design and are corrected by reversal.

Our use of cookies and optional, consent-based product analytics is described in the Privacy Policy. Analytics is off until you accept it, and you can withdraw consent at any time.

Fees

Paid plans, billing terms, and any free tier are described at the point of purchase or in your plan settings. [TODO: confirm billing/refund terms.]

Fair use and plan limits

Some features — in particular document scanning (OCR) and the AI assistant — are subject to fair-use limits published with each plan. These limits, and reasonable technical caps on usage and stored data, exist to keep the service sustainable and to prevent abuse. Where usage is excessive, automated, or abusive, we may throttle, suspend, or require an upgrade. We may adjust published limits from time to time.

Referrals and promotional credits

We may offer referral rewards and promotional codes that grant free subscription time. Referral rewards are granted only for genuine sign-ups that result in a paid subscription. We may withhold, reverse, or cancel rewards or codes obtained through self-referral, duplicate or fraudulent accounts, or other abuse, and we may change or end these programs at any time. Rewards and promotional credits have no cash value and are non-transferable.

Disclaimers

Kirado is provided “as is” without warranties of any kind to the extent permitted by law. We do not provide accounting, tax, or legal advice; you are responsible for verifying outputs and meeting your statutory obligations.

Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential losses arising from your use of the service. [TODO: confirm liability cap and governing-law wording with a lawyer.]

Termination

You may stop using Kirado at any time. We may suspend or terminate access for breach of these Terms or where required by law.

Governing law

These Terms are governed by the laws of [TODO: governing jurisdiction — confirm jurisdiction / dispute-resolution clause.]
